This document, including the Privacy Policy and any other referenced documents (collectively referred to as the "Agreement"), constitutes a legal agreement between you (referred to as "you" or "your") and Utter Vision ("Utter Vision" or "we"). It governs your use of the services provided by Utter Vision ("Services").

Acceptance of Terms

By signing up for the Services and clicking the appropriate acceptance button, and by continuing to use the Services thereafter, you acknowledge and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not access or use the Services.

Modifications to the Agreement

Unless prohibited by applicable law, Utter Vision reserves the right to update these terms and conditions at any time. Updated terms will be posted on the Utter Vision website, and it is your responsibility to monitor the website for changes and review the revised terms. Your continued use of the Services after any updates to the Agreement constitutes your acceptance of the changes.

1. Definitions

Access Information: Refers to user credentials, including usernames, passwords, or other access methods, provided by Utter Vision to enable secure use of the platform, as outlined in Section 4.
Agreement: The entire document, including these Terms and Conditions, the Privacy Policy, and any other referenced materials, as described in the introductory paragraph.
Applicable Law: Includes all domestic and international laws, regulations, statutes, orders, ordinances, protocols, directives, policies, or judicial decisions that govern the use of the Utter Vision platform or services, as applicable in Canada, the U.S., the U.K., Australia, or any other relevant jurisdiction.
Aggregated Information: Data derived from multiple users that has been anonymized and combined in a way that does not reveal any individual user's identity.
Artificial Intelligence Assistance AIA: Features integrated into the Utter Vision platform that provide automated, AI-driven support for immigration or visa applications, as described in the Services section.
Biometrics Appointments: Appointments required to collect biometric information, such as fingerprints or photographs, as part of visa or immigration application processes.
Confidential Information: All proprietary or sensitive information shared by Utter Vision, including platform design, instructional videos, approval rate calculators, and user data, as outlined in Section 11.
Utter Vision Partner/Users: Refers to third-party clients, registered partners RPs, and other entities authorized to use Utter Vision services under specific agreements.
Utter Vision Software: The proprietary platform developed by Utter Vision for visa and immigration applications, including its features, tools, and associated Content, as detailed in Section 3.
Utter Vision Solution: The combination of services, tools, instructional videos, and platform features provided by Utter Vision to assist users with visa and immigration processes.
Governmental Regulatory Oversight and Administrative Authority: Any government or regulatory body with jurisdiction over visa and immigration processes, including but not limited to Immigration, Refugees, and Citizenship Canada IRCC, the U.S. Citizenship and Immigration Services USCIS, the U.K. Visas and Immigration UKVI, or the Department of Home Affairs DHA in Australia. Immigration Application: A formal request submitted by a user through the Utter Vision platform for the purpose of obtaining a visa or immigration status.
Instructional Videos: Educational content provided by Utter Vision to guide users through visa and immigration application processes, as described in Section 2.
Interview: A formal process where an applicant is required to answer questions or provide documentation to an immigration authority or institution.
Material Oversight: Any significant error, omission, or inaccuracy that may impact the success or outcome of a visa or immigration application.
Party: Refers to either you or Utter Vision individually, and Parties refers to both collectively.
Privacy Policy: The document outlining Utter Vision’s approach to collecting, using, and safeguarding personal information, accessible via the Utter Vision website.
Services: The range of services provided by Utter Vision, including access to visa application tools, instructional videos and Ai-driven support, as described in Section 2
Submission: Any feedback, suggestions, or other communications shared by users regarding the functionality of the Utter Vision platform, as outlined in Section 9.
Terms and Conditions: Refers to the current document, which sets forth the legal terms governing the use of Utter Vision’s platform and services.
Visa: An official document or endorsement issued by a country’s government allowing a foreign individual to enter, stay, or work within its territory for a specified purpose.
Your Data: Refers to all information provided by you through the Utter Vision platform, including personal, financial, or immigration-related data, as outlined in Section 6.

2. Services

Utter Vision’s services described in this Section 2 (collectively referred to as the “Services”) consist of the following:

1. Utter Vision will provide access to visa and immigration-related information, materials, and content (hereinafter referred to as the "Content") made available through the Utter Vision website. This Content includes, but is not limited to, videos, noteboards, details on pricing, appointment setting for biometrics, features, offers, and information provided by third parties. The purpose of the Content is to furnish users with comprehensive resources to facilitate their understanding of, and engagement with, visa and immigration application processes for various countries, including but not limited to the United States, the United Kingdom, Australia, and Canada. This service is designed to provide guidance and support to users as they navigate complex immigration systems and application procedures.

2. Utter Vision offers a dedicated portal that allows you to input Your Data into the Utter Vision Software. Acting as an intermediary, Utter Vision facilitates the secure transfer of Your Data to designated Account Managers. This process is designed to streamline and support your application for visas and immigration procedures available through the Utter Vision Portal, ensuring a seamless and efficient experience for users.

3. Utter Vision will facilitate visa and immigration applications on a case-by-case basis by providing tailored support through various means. This includes assisting you in communications with the relevant Utter Vision Account Managers, third-party consultation providers, or legal professionals, as appropriate for the specific country or region.Additionally, Utter Vision may connect you with internationally certified advisors to provide expert guidance tailored to your specific needs. The facilitation process encompasses various stages of the visa and immigration application journey, including the initial submission of your application, the handling of reconsideration requests in cases of unfavorable outcomes, and assistance with reapplying if necessary. Utter Vision also coordinates the submission of application fees and other payments associated with these processes, ensuring compliance with applicable requirements. Furthermore, Utter Vision provides comprehensive guidance and advice throughout each phase to maximize the likelihood of a successful outcome.

4. Utter Vision offers an Approval Rate Calculator designed to provide users with an informed estimation of their likelihood of success in visa and immigration applications. This tool is generated based on recent applications submitted through our portal, leveraging data from actual cases to ensure accuracy and relevance. By analyzing key factors and trends from prior submissions, the calculator delivers tailored insights to help you better understand your prospects. Utter Vision’s goal is to equip you with valuable information to navigate the application process confidently, enhancing your preparedness and maximizing the likelihood of a favorable outcome.

3. License to Use the Utter Vision Software (Portal)

In accordance with the provisions set forth in this Agreement and any constraints detailed within the Content, Utter Vision provides you with a limited, non-transferable, non-exclusive, and revocable license to utilize the Utter Vision Software.

This license is strictly intended to enable your use of Utter Vision's Services, review the Content provided, and facilitate the submission of an Application through Utter Vision. Such Applications may, where applicable, be redirected to governmental platforms for the purpose of visa and immigration submission. This provision aligns with Utter Vision’s commitment to assist and empower users/partners in navigating the complexities of the visa and immigration process.

4. Your Access Information Utter

Vision provides you with access credentials to facilitate your use of our software solutions, which may include instructional videos and other resources. This "Access Information" includes user IDs and passwords, or the ability to create accounts via email, Google, or Apple logins.

Access Information is personal and non-transferable. It is your responsibility to ensure that no one other than yourself or your authorized representatives accesses the Utter Vision platform using your credentials. This policy also applies to third-party clients, including registered partners (RPs) and other entities who may use our services. Unauthorized sharing, use, or access of your account is strictly prohibited and may lead to suspension or termination of services.

Utter Vision reserves the right to monitor account activity to ensure compliance with our terms and conditions. If we detect any suspected misuse, such as unauthorized downloading, sharing, or exploitation of resources, we may suspend or terminate your account immediately. This policy applies to all users, including general users, third-party clients, registered partners (RPs), and other entities accessing our platform. Such actions are taken to protect the integrity of our resources and ensure fair usage across our user base.

5. Your Representations and Warranties

You commit to, acknowledge, and assure that:

5.1: All parties accessing Utter Vision software, including third-party clients, registered partners (RPs), and other entities, represent and confirm that they have reached the age of majority in their respective jurisdictions of residence and possess the legal authority to establish and enter into binding legal obligations.

5.2: All parties, including third-party clients, registered partners (RPs), and other entities using the Utter Vision Software Solutions, must ensure that access to their accounts via their Access Information is restricted solely to themselves or their authorized representatives. No unauthorized individuals may use their Access Information to gain access to the software.

Additionally, due to international login attempts through Google, Apple, or other login service providers, if your account is locked as a result of consistent IP address changes, Utter Vision does not accept responsibility for such issues. In such cases, it is the user's responsibility to contact our support center to request account recovery or reactivation.

Once your request is processed, Utter Vision will provide you with new access credentials within 2 to 3 business days, sent exclusively to your registered email address.

5.3: All parties, including third-party clients, registered partners (RPs), and other entities using the Utter Vision Software Solutions, agree to use the platform strictly in compliance with this Agreement and all Applicable laws.

5.4: All individuals and entities utilizing Utter Vision Software, such as third-party clients, registered partners (RPs), and others are responsible for ensuring that their activities on the platform do not unlawfully breach, infringe upon, or violate the intellectual property rights of any third party.

5.5: Every user group of Utter Vision services, including registered partners (RPs), third-party clients, and other involved entities, must comply with all applicable Utter Vision partnership policies and procedures related to their application.

5.6:Every user group of Utter Vision services, including registered partners (RPs), third-party clients, and other involved entities, confirms that the data they provide is true, accurate, current, and complete. If any provided data becomes inaccurate, users must promptly notify Utter Vision, contact their account manager, or update their data directly on the Utter Vision platform.

5.7:All participants in the Utter Vision platform, including registered partners (RPs), third-party clients, and other associated users, acknowledge that if they engage a third party or authorized representative to provide information on their behalf, the following conditions apply:

5.7.1 : Legitimate Purpose: The third party or representative must have a valid and lawful reason for accessing the records or information, such as assisting with immigration applications, submitting reconsideration requests, or reapplying for visas already processed through the platform.

5.7.2: Jurisdictional Compliance: The access and use of information must comply with the laws and policies of the relevant immigration and citizenship authorities in the respective jurisdictions:

  • United States: Access to records must comply with the regulations set forth by the U.S. Citizenship and Immigration Services (USCIS) and require explicit authorization from the individual.
  • United Kingdom: The third party must adhere to the policies established by UK Visas and Immigration (UKVI).
  • Australia: All data access must align with the guidelines of the Department of Home Affairs (DHA).
  • Canada: Information must be managed in accordance with the regulations of Immigration, Refugees and Citizenship Canada (IRCC).

All participants are responsible for ensuring that the information provided through third parties is accurate, complete, and shared in full compliance with the privacy and data protection requirements of the applicable jurisdiction.

5.8: All participants in the Utter Vision platform, including registered partners (RPs), third-party clients, and other associated users, acknowledge that they will only comply with the rules and regulations set forth by the U.S. Citizenship and Immigration Services (USCIS), UK Visas and Immigration (UKVI), Department of Home Affairs (DHA), and Immigration, Refugees and Citizenship Canada (IRCC) when deciding whether or not to submit related information for their application through the portal.

5.9:Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, agree not to pay any fees or provide other forms of consideration to unauthorized representatives for immigration or visa-related advice. Such payments may only be made to representatives who are qualified and authorized under the applicable laws of the destination country and explicitly entitled or authorized by Utter Vision for this purpose.

Furthermore, a separate Authorization Representative Form must be completed and signed by both the applicant and the authorized service provider to ensure proper documentation and compliance with Utter Vision policies and applicable legal requirements.

5.10: Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, acknowledge that they will be solely responsible for all activities conducted on the Utter Vision Portal or software by themselves or their authorized designates.

5.11: Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, are strictly prohibited from using the Utter Vision portal to provide commercial services to or for the benefit of any third party without explicit written authorization from Utter Vision. This rule is a core policy of Utter Vision and must be strictly adhered to.

Furthermore, any authorized activity must comply with all applicable regulations and require appropriate certifications or accreditations from relevant immigration and legal regulatory bodies. These include the following authorities for consultants and lawyers:

United States (USCIS)

Lawyers:

  • Licensed by State Bar Associations (e.g., California Bar, New York State Bar).
  • Must hold a Juris Doctor (JD) degree and have passed the state bar exam.

Immigration Consultants:

  • Not regulated federally; requirements vary by state.
  • In states like California, consultants must register under the Secretary of State.

United Kingdom (UKVI)

Lawyers:

  • Solicitors are regulated by the Solicitors Regulation Authority (SRA).
  • Barristers are overseen by the Bar Standards Board (BSB).

Immigration Advisors/Consultants: 

  • Must be licensed by the Office of the Immigration Services Commissioner (OISC).
  • Advisors are required to meet specific OISC competency levels.

Australia (DHA)

Lawyers:

  • Regulated by State or Territory Legal Practice Boards and the Law Council of Australia.
  • Must hold a law degree and be admitted as a legal practitioner.

Migration Agents:

  • Licensed by the Office of the Migration Agents Registration Authority (OMARA).
  • Must complete the Graduate Diploma in Australian Migration Law and Practice and pass a capstone assessment.

Canada (IRCC)

Lawyers:

  • Governed by Provincial or Territorial Law Societies (e.g., Law Society of Ontario, Barreau du Québec).
  • Requires a law degree and bar admission in the respective province or territory.

Immigration Consultants:

  • Licensed by the College of Immigration and Citizenship Consultants (CICC).
  • Must complete an accredited immigration consultant diploma program and pass the Entry-to-Practice Exam.

5.12:All users of the Utter Vision platform, including but not limited to third-party clients, registered partners (RPs), and other entities, confirm that they have the legal right and authority to:

  • Enter into this Agreement,
  • Grant the rights and licenses outlined in this Agreement,
  • Use the Utter Vision Software,
  • Post or upload any content to Utter Vision’s website,
  • Provide any such content or their data to the Utter Vision platform in compliance with applicable laws and regulations,
  • Independently utilize instructional videos and resources provided through the platform to support their application processes,
  • Recognize that any reliance placed on the instructional videos or supplementary materials is entirely at the user's discretion and interpretative understanding, and
  • Acknowledge that Utter Vision's instructional content is designed to facilitate general comprehension of application procedures and that any inadvertent misapplication or deviation resulting from the interpretation of these materials remains solely the responsibility of the user.

5.13: By using the Utter Vision Software, you confirm that you possess all necessary legal rights to utilize the software in your jurisdiction and in the jurisdiction of the Utter Vision users for whom you are applying for visa or immigration services. This includes:

  • The legal right to access the content provided through the software.
  • The right to submit visa or immigration applications using the software.
  • The right to provide your data as required for these applications.

5.14: You are not located in a country subject to embargoes or sanctions imposed by the governments of Canada, the United States, Australia, or the United Kingdom, which would prevent you from applying for visas or pursuing immigration pathways through their systems.

5.15: All users of the Utter Vision platform, including but not limited to third-party clients, registered partners (RPs), and other entities, agree to use the platform's features, including the Approval Rate Calculator, solely for their intended purpose and in compliance with this Agreement.

  • Users must not misuse, replicate, reverse-engineer, or attempt to duplicate the underlying algorithm or functionality of the Approval Rate Calculator for personal, commercial, or competitive purposes.
  • Any unauthorized access, distribution, or reproduction of the Approval Rate Calculator or its components is strictly prohibited and may result in immediate suspension of access to the Utter Vision platform and legal action.
  • Utter Vision retains full proprietary rights over the Approval Rate Calculator, including its algorithm, data models, and any associated intellectual property.

By accessing the platform, users acknowledge their responsibility to protect the confidentiality and integrity of the tools provided and agree to refrain from any actions that compromise these rights.

5.16:All users of the Utter Vision platform, including but not limited to third-party clients, registered partners (RPs), and other entities, agree that they will not use the Utter Vision Software or its instructional videos to engage in, attempt to engage in, or facilitate any criminal or unlawful activities. This includes, but is not limited to:

  • Fraudulent activities,
  • Using Utter Vision's assets, resources, or proprietary materials to develop or support third-party service providers,
  • Engaging in deceptive impersonation or misrepresentation,
  • Violating any third party’s privacy rights, and
  • Breaching copyright laws, including reproducing, distributing, or otherwise misusing Utter Vision’s coaching, training, or instructional videos.

5.17: You will not interfere or attempt to manipulate, disrupt, or undermine these security protocols, including unauthorized access or tampering with the platform's content or infrastructure with or in any manner that compromise any of Utter Vision’s software or its coded instructional videos' security measures.

5.18:By using the Utter Vision Software (Portal), you agree not to alter, modify, delete, interfere with, or in any way compromise any Content, features, or functionality accessible through the platform. This includes, but is not limited to:

  • The visa and immigration application forms.
  • The instructional videos provided to guide users.
  • AI-powered features and tools.
  • The approval rate calculator functionality.
  • The delivery, presentation, or display of Content on the Utter Vision website or portal.

5.19: Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, agree to fully cooperate with the Utter Vision team and promptly provide any information requested by Utter Vision. This includes assisting in investigations or inquiries conducted by Utter Vision, the Government of Canada, the United States, Australia, or any other governmental or regulatory authorities to determine whether there has been a breach of this Agreement or any applicable laws. 5.20: Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, agree to comply with the terms and conditions of any agreements entered into between you and any third parties. This includes, but is not limited to:

  • Utter Vision Partners.
  • Service providers for any internet services used in conjunction with the Utter Vision Portal.
  • Hardware providers for any mobile devices or computing equipment used to access the Utter Vision Software or instructional videos.

To the extent that such agreements impose additional restrictions on your use of the Utter Vision Solution (whether due to usage limitations or other factors), you agree to use the Utter Vision Software (Portal) in full compliance with these restrictions.

6. Your Data

Your Data Must Be Complete and Accurate

6.1: Any parties accessing the Utter Vision Software, including but not limited to third-party clients, registered partners (RPs), and other entities, must:

1. Provide Accurate Information:

Submit complete, up-to-date, and accurate personal information or other data as requested by Utter Vision via the portal’s initial section, the Utter Vision website, or other communication channels. This includes, but is not limited to:

  • Personal Information: Name, contact details, citizenship and legal status, gender, date of birth, home and mailing address, marital status, and emergency contact information.
  • Financial and Educational Details: Financial information, education qualifications, employment information, transcripts, and English or French test scores.
  • Visa and Immigration Application Data: Passport details, visa-specific requirements, medical and financial information required for visa or immigration processing.

2. Payment Information:

When payment is required, any party must provide up-to-date, complete, and accurate payment information. This may include:

A valid PayPal or Stripe account.

Credit or debit card information for a card legally registered to the paying party and valid in their country of residence.

3. Obtain Relevant Permissions:

Ensure that all necessary permissions have been obtained from any affected third party (such as custodians, parents, or legal guardians) to allow Utter Vision to collect, use, and process the required data.

This Agreement does not confer any transfer of ownership rights over "Your Data" in its original state to Utter Vision. All parties, including but not limited to third-party clients, registered partners (RPs), and other entities, retain unequivocal ownership and exclusive rights to their respective data.

6.2: All users, including third-party clients, registered partners (RPs), and affiliated entities, recognize that their data may be hosted on servers located outside of Canada. Such data may be governed by the legal frameworks and contractual terms of those foreign jurisdictions, beyond the direct oversight of Utter Vision. By engaging with our services, users consent to these conditions

6.3: All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge that an integral part of the Utter Vision Solution involves the collection, processing, transmission, and disclosure of Your Data by Utter Vision, Utter Vision Partners, and their service providers. By using the Utter Vision platform, all parties expressly consent to:

1. Data Sharing:

Utter Vision’s sharing of Your Data with Utter Vision Partners, visa agencies, language testing organizations (e.g., English or French test scores), educational institutions, professional bodies, service providers (including hosting providers), and relevant Governmental or Regulatory Authorities, as required to deliver the Utter Vision Solution.

2. Communications:

Receiving communications from Utter Vision (including marketing and informational emails) related to the Utter Vision Solution and Utter Vision’s products and services.

6.4: All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge that an integral part of the Utter Vision Solution involves the collection, processing, transmission, and disclosure of Your Data by Utter Vision, Utter Vision Partners, and their service providers. By using the Utter Vision platform, all parties expressly consent to:

1. Data Sharing:

Utter Vision’s sharing of Your Data with Utter Vision Partners, visa agencies, language testing organizations (e.g., English or French test scores), educational institutions, professional bodies, service providers (including hosting providers), and relevant Governmental or Regulatory Authorities, as required to deliver the Utter Vision Solution.

2. Communications:

Receiving communications from Utter Vision (including marketing and informational emails) related to the Utter Vision Solution and Utter Vision’s products and services.

6.5: All users’ personal information will be handled in accordance with Utter Vision’s Privacy Policy, accessible via the following link:

Notwithstanding the above, Utter Vision reserves the right to disclose any Personal Information it deems necessary to comply with any Applicable Law, legal process, or requirements of a Governmental or Regulatory Authority.

7. De-Identified Data

Utter Vision reserves the right to utilize or share your data, as well as information regarding your use of the Utter Vision Software, in an aggregated and anonymized format that does not personally identify you (“De-Identified Data”), in accordance with Utter Vision’s Privacy Policy. This De-Identified Data may be used for various business purposes, including but not limited to:

  • Improving and optimizing the Utter Vision Software (Portal).
  • Enhancing our instructional videos.
  • Updating and refining our approval rate calculator.
  • Advancing the functionality and accuracy of our AI chatbot.
  • Conducting performance analytics.
  • Marketing services to third parties.
  • Monetizing through the sale of De-Identified Data.

Utter Vision retains full ownership of any intellectual property rights arising from the use of such De-Identified Data and its application in enhancing services.

8. Restrictions and Limitations on Your

8.1: Access to Visa and Immigration Pathways

All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge that only certain Utter Vision Partners have agreements with Utter Vision to enable the submission of Applications through our software. Additionally, not all visa and immigration pathways or programs offered by these Utter Vision Partners may be accessible or available for use via the Utter Vision Software.

8.2: Usage Policies All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge that the Utter Vision Software is governed by usage policies as provided by Utter Vision from time to time, including but not limited to electronic updates or postings on Utter Vision’s website. These policies may specify limitations on data storage space, as well as equipment and/or software requirements necessary for proper functionality. Users are solely responsible for adhering to and ensuring compliance with these policies.

8.3: Responsibility for Equipment and Services All users, including third-party clients, registered partners (RPs), and affiliated entities, recognize that they bear full responsibility for selecting, configuring, installing, maintaining, and ensuring the performance of any equipment, software, or services used in connection with the Utter Vision Software. This responsibility does not extend to Utter Vision's proprietary systems and networks. Users are also accountable for their choice and management of internet service providers or related connectivity solutions.

8.4:Data Integrity and Backup All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge and accept that Utter Vision cannot guarantee the integrity of data. It is the sole responsibility of users to create and maintain backups of any data they use in conjunction with the Utter Vision Software.

8.5: Not for Time-Sensitive Applications

All users, including third-party clients, registered partners (RPs), and affiliated entities, acknowledge that the Utter Vision Software (Portal) is not designed or authorized for use in inherently dangerous, highly time-sensitive, or mission-critical scenarios. This includes applications for special visa or immigration pathways, such as diplomatic visas or programs that are randomly opened for specific ethnicities or nationalities. Users must exercise caution and seek alternative solutions for such applications.

8.6: Restrictions on Utter Vision Website/Portal/Software Use:

All users, including third-party clients, registered partners (RPs), and affiliated entities, will not:

8.6.1: Modification and Reverse Engineering:

  • Do not reproduce, modify, enhance, improve, alter, reverse engineer, disassemble, deconstruct, translate, decrypt, reverse compile, or convert into human-readable form the Utter Vision Software or any part thereof.

8.6.2: Distribution and Licensing:

  • Do not distribute, assign, license, sublicense, lease, rent, transfer, sell, or otherwise provide access to the Utter Vision Software, in whole or in part, to any third party on a temporary or permanent basis.

8.6.3: Proprietary Rights:

  • Do not remove, deface, cover, or otherwise obscure any proprietary rights notice or identification on the Content, including any copyright notices.

8.6.4: Misuse of Software:

  • Do not use the Utter Vision Software in any way inconsistent with the established use parameters.

8.6.5: Security Breaches:

  • Do not attempt to hack the Utter Vision Software or any communication initiated by or through the Utter Vision Portal, nor defeat or overcome any encryption or technical protection methods implemented with respect to the software, data, or Content

. 8.6.6: Surveillance and Interception:

  • Do not collect any information or communication about the users of the Utter Vision Software by monitoring, interdicting, or intercepting any process or communication; or by developing or using any software or any other process or method that engages in or assists in these activities.

8.6.7: Malicious Software:

  • Do not use any type of bot, spider, virus, clock, timer, counter, worm, software lock, drop-dead device, packet-sniffer, Trojan-horse, trap door, time bomb, or any other codes or instructions that are designed to provide a means of surreptitious or unauthorized access to, or to monitor, distort, delete, damage, or disassemble the Utter Vision Software or its communication and service performance.

8.6.8: Compliance with Legal Standards for Instructional Videos:

  • Do not use, distribute, or alter instructional videos in ways that violate copyright laws or regulations in Canada, the United States, the United Kingdom, or Australia.

8.6.9: Third-Party Actions:

  • Do not authorize, permit, or otherwise acquiesce in any other party engaging in any of the activities set forth in this section, or attempting to do so.

8.6.10: Specific Use of Visa and Immigration Content:

  • Do not redistribute, modify, or misuse any visa and immigration instructions, content, or guidance provided exclusively through Utter Vision instructional videos, coaching webinars, or similar formats, in any manner that contravenes the intended educational purposes or infringes on proprietary rights.

Adherence to these restrictions is essential to maintain the integrity and security of the Utter Vision Software and Portal, and non-compliance may result in termination of access and potential legal action.

9. Visa/Immigration Application Submissions

Any suggestions, bug reports, feedback, or other communications regarding the functionality of the Utter Vision Software, Portal, or website that you submit to Utter Vision by any means (each, a “Submission”) will be treated as non-confidential. While Utter Vision may use or disseminate such Submissions, including sharing with affiliates or third parties, for any purpose—such as improving its services related to visa and immigration applications for the United States, Canada, the United Kingdom, and Australia—this does not include the personal data contained within your visa and immigration applications. Personal data provided as part of your applications will remain confidential and handled in accordance with Utter Vision's Privacy Policy.

All users of the Utter Vision platform, including but not limited to third-party clients, registered partners (RPs), and other entities, hereby grant Utter Vision, its affiliates, and successors a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, transmit, modify, develop, and prepare derivative works of any Submission on, through, or in connection with the Services. This includes, but is not limited to, using Submissions for the purposes of promoting, improving, and developing the Utter Vision Software and related solutions.

This provision does not extend to Personal Information, which is protected under Utter Vision’s Privacy Policy and will be handled in compliance with applicable data protection regulations.

10. Fees, Payment, and Taxes

Users of the Utter Vision platform, including access to the portal and instructional videos, agree to pay all applicable fees as outlined on the Utter Vision website or communicated otherwise. Fees are quoted in the currency relevant to the service location (e.g., USD for U.S.-related applications). Utter Vision reserves the right to modify fees with reasonable notice, which may be updated on the website. Continued use of the platform after such changes constitutes acceptance of the new fees.

Application Processing Deposit

In certain cases, Utter Vision may require an application processing deposit based on the applicant's country, profile, or other relevant criteria affecting application outcomes. Specific conditions regarding the deposit, including refundable and non-refundable scenarios, are provided on the Utter Vision website and are subject to change. Situations where the deposit will not be refunded include, but are not limited to:

  • Failure to provide required documentation,
  • Rejection of the visa application, or
  • Cancellation of the application prior to receiving a decision.

Registered Partners (RPs) Subscription Fees

Registered partners (RPs) agree that all subscription fees and related charges are non-refundable under any circumstances. The contract with RPs can be terminated by either party with a minimum of 30 days' advance written notice. Utter Vision reserves the right to adjust subscription fees with reasonable notice as per the terms of the Agreement.

Third-Party Fees

Certain fees may be charged by Utter Vision’s partners or third-party service providers. These fees are non-refundable and beyond Utter Vision’s control, as they are directly remitted to the applicable partner or provider.

Payment Authorization

By paying via credit card or other methods, users authorize Utter Vision or its third-party processors to charge all applicable fees. Any rejected payments will incur additional fees, and Utter Vision reserves the right to delay processing of any application until full payment is received.

Late Payments and Interest

Outstanding payments may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law, starting from the due date. Users are also responsible for reasonable fees, including legal costs, for overdue payments.

Taxes

All taxes, duties, and government charges related to this Agreement, except taxes on Utter Vision’s net income, are the responsibility of the user. Payment amounts will be adjusted to account for tax withholding, ensuring the full due amount is remitted to Utter Vision. Official receipts for taxes paid must be provided promptly upon request.

11. Confidential Information

By accessing the Utter Vision platform, all users, including third-party clients, registered partners (RPs), and other entities, agree to maintain the confidentiality of the terms of this Agreement and any information provided by Utter Vision, except where disclosure is necessary for the delivery of agreed-upon services. Throughout the term of this Agreement and following its termination (whether voluntary or involuntary):

  • You will safeguard all Confidential Information and ensure it is not disclosed, transmitted, or accessed by any unauthorized party without Utter Vision's prior written consent.
  • You will only use, disclose, or reproduce Confidential Information as required to access or utilize Utter Vision’s services and always with Utter Vision’s explicit written approval.
  • Any instances of misuse, unauthorized access, or misappropriation of Confidential Information must be reported to Utter Vision immediately in writing.

Utter Vision will implement reasonable organizational and technical measures to protect your data while it is within our control. However, your data may be disclosed:

1. To governmental or regulatory authorities, as required by applicable law.

2. To professional advisors, where necessary, to comply with applicable laws or defend against claims related to this Agreement.

The confidentiality obligations outlined in this Agreement shall not extend to information that:

  • Becomes publicly accessible through no fault or breach of this Agreement by the receiving party;
  • Is lawfully disclosed to the receiving party by a third party under no obligation of confidentiality;
  • Is independently developed by the receiving party without reliance upon or reference to the Confidential Information; or
  • Was already legally in the possession of the receiving party without any restrictions on disclosure prior to the disclosure under this Agreement.

Upon the termination of this Agreement, whether voluntary or involuntary, or upon written request from Utter Vision, you are required to promptly return or securely destroy all Confidential Information in your possession, custody, or control. It is expressly acknowledged that monetary damages may be insufficient to remedy breaches of confidentiality obligations. Accordingly, Utter Vision shall have the unequivocal right to seek injunctive relief, whether interim or permanent, as well as any other legal or equitable remedies available, to safeguard its interests and enforce these obligations.

This provision applies comprehensively to all elements of the Utter Vision Software Solution, including but not limited to the portal, instructional videos, visa coaching webinars, and any associated educational materials or resources.

12. Intellectual Property

The Utter Vision Software Solution, including its portal, visa coaching webinars, and related tools, is provided as an open resource. Utter Vision does not claim ownership of intellectual property rights over the Software Solution itself and does not seek to retain proprietary claims. If you wish to replicate or adapt aspects of the software, you may contact our technical team, and if we assess your organization as a suitable and constructive competitor, we may provide necessary information to support your efforts.

However, all instructional videos and associated educational materials provided through the Utter Vision platform are protected under applicable copyright laws, including Canadian, U.S., Australian, U.K., and international copyright legislation. Utter Vision retains all rights, title, and interest in and to these copyrighted materials. Unauthorized reproduction, distribution, or adaptation of the instructional videos is strictly prohibited and constitutes a breach of copyright law.

Furthermore, if you use the materials provided through our system—either with or without consultation from our team—you assume full responsibility for your actions. Utter Vision shall not be held liable for any outcomes, including but not limited to legal disputes, inaccuracies, or any misuse of the content. This distinction ensures the free utility of our software solution while safeguarding the integrity and originality of our educational content.

13. Changes to Terms and Conditions; Changes to Utter Vision; Right to Edit and Remove Your Data; Suspension or Termination

Changes to Terms and Conditions

Utter Vision reserves the right to amend these Terms and Conditions at any time without prior notice. Continued access to or use of the Utter Vision platform, including instructional videos, visa coaching webinars, and related resources, after such changes constitutes your acceptance of the updated Terms and Conditions. Users, including third-party clients, registered partners (RPs), and other entities, are responsible for reviewing these Terms and Conditions periodically.

Changes to the Utter Vision Platform

Utter Vision reserves the right to modify, suspend, or discontinue any part of the platform, including the availability of instructional videos or other resources, at any time and without notice. Such changes may apply to services offered in Canada, the U.S., the U.K., and Australia, or any other jurisdiction.

Right to Review and Remove User Data

Utter Vision may review user data stored on its platform to ensure compliance with this Agreement. Utter Vision reserves the right to edit or remove data that, in its sole discretion, is deemed unlawful, obscene, abusive, fraudulent, or otherwise objectionable.

Suspension or Termination of Access

Utter Vision may impose restrictions or terminate access to its platform, temporarily or permanently, at its sole discretion and without liability. While efforts will be made to provide advance notice of such actions where feasible, users acknowledge that immediate action may be necessary in some circumstances.

Access to the Utter Vision platform may also be revoked due to abusive conduct, fraudulent use, or any activity that, in Utter Vision’s sole discretion, poses a threat to its systems, third-party systems, or users. Without limiting other remedies, Utter Vision may take the following actions if users breach this Agreement:

  • Issue warnings,
  • Suspend or terminate accounts,
  • Limit platform activity, or
  • Refuse future services.

These actions may also be taken if Utter Vision is unable to verify user-provided information or if user actions risk financial loss or legal liability for Utter Vision, its partners, or other users.

Utter Vision will not be liable to users or any third party for terminating or suspending access to the platform under any circumstances.

Investigations

Utter Vision reserves the right to investigate suspected breaches of this Agreement.

Users agree to cooperate with:

1. Governmental or regulatory authorities investigating potential criminal activity in jurisdictions such as Canada, the U.S., the U.K., and Australia.

2. Utter Vision partners, including registered partners (RPs), in addressing academic fraud or other misconduct related to immigration and visa applications.

3. System administrators at internet service providers, networks, or other related entities to enforce these Terms and Conditions.

By agreeing to these terms, users accept the authority of Utter Vision to take all necessary legal, technical, and equitable measures to safeguard the platform and its resources.

14. Your Obligation to Report Errors

You will promptly and accurately report to Utter Vision Support any actual or apparent errors, problems, nonconformities, or other difficulties with the Utter Vision platform, including but not limited to our instructional videos, approval rate calculator, and other services. Additionally, you agree to provide any other information reasonably requested by Utter Vision to aid in troubleshooting and resolving such issues. By submitting this information, you consent to its collection, processing, transmission, and disclosure by Utter Vision for internal purposes, including improving the platform, instructional materials, and other products or services.

This applies to all users and third-party registered partners (RPs) who utilize the Utter Vision platform. Utter Vision shall not be held liable for any outcomes resulting from the use of these materials or tools, whether errors are reported or not, ensuring the ongoing integrity and enhancement of our solutions.

15. Term and Termination

This Agreement may be terminated by either party for any reason, without cause, upon 30 days’ written notice addressed to the other party.

This Agreement may be terminated by Utter Vision immediately upon notice for cause if:

● You commit a material breach of this Agreement and fail to rectify the breach within 30 calendar days of Utter Vision delivering notice of the breach;

● You commit a breach of any of your representations in this Agreement; or

● Utter Vision is prevented from providing any portion or all of its services, including the instructional videos, approval rate calculator, or other tools, due to:

(A) your acts or omissions in breach of this Agreement;

(B) acts or omissions of any third party, including any registered partner (RP); or

(C) any applicable law or ruling issued in any form whatsoever by a governmental or regulatory authority.

16. Effect of Termination or Expiry

Upon termination or expiry of this Agreement (by you or Utter Vision), you must stop using all Utter Vision services, including instructional videos and tools. Payment obligations for fees accrued before termination remain unaffected.

Rights, remedies, and provisions that naturally or explicitly survive termination will remain in effect.

17. Disclaimers

DISCLAIMER OF IMPLIED WARRANTIES

The Utter Vision platform, including but not limited to its instructional videos, approval rate calculator, and all related content, is provided to you "as is" without warranties or conditions of any kind, express or implied. This includes, but is not limited to, implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy.

NO GUARANTEES ON CONTENT ACCURACY

Utter Vision does not guarantee the accuracy, completeness, or reliability of any content provided through its platform. Some content, including instructional videos and tools such as the approval rate calculator, may be approximations, hypothetical scenarios, or even created solely for illustrative purposes. Such content holds no official credibility or validity in any country and should not be relied upon as an authoritative source.

LIMITATION OF LIABILITY FOR ALL USERS

Utter Vision assumes no responsibility for any errors, omissions, inaccuracies, or outcomes related to its platform's use. This applies to all users of the platform, including third-party clients, registered partners (RPs), and other entities. By using Utter Vision’s services, you acknowledge that all actions taken based on the content, tools, or guidance provided are at your sole discretion and risk.

NO LIABILITY FOR RELIANCE ON CONTENT

Utter Vision has no special relationship or fiduciary duty to you and is not responsible for how you or any other user interprets or utilizes content accessed or developed through the platform. Under no circumstances will Utter Vision be liable for any loss or damage caused by reliance on the platform’s content, tools, or services, including opinions, statements, or advice.

CONTENT SOURCES AND THIRD PARTIES

The content provided through the Utter Vision platform may include references to third parties, external links, or information sourced from third-party entities. These references and links may change without notice. Utter Vision bears no responsibility for the accuracy, legality, or compliance of any third-party information or for any errors or issues arising from such sources.

RESPONSIBILITY FOR OUTCOMES

Utter Vision is not responsible for your failure to achieve desired outcomes, such as visa approvals, successful applications, or adherence to immigration requirements. You acknowledge that such outcomes are influenced by factors beyond Utter Vision's control, including your actions, third-party processes, or governmental decisions.

INABILITY TO ACCESS DESTINATIONS OR SERVICES

You are solely responsible for meeting entry requirements, visa conditions, and compliance with applicable laws in any country. Utter Vision assumes no liability for any failure to access your chosen destination or services due to unmet requirements or external factors.

DATA USE AND PRIVACY

Utter Vision uses reasonable measures to secure data collected through its platform. However, Utter Vision is not liable for any unauthorized access, data breaches, or actions taken by governmental or third-party entities related to your data. You are advised to back up your information and remain responsible for its safekeeping.

ACCESS AND SECURITY

Utter Vision is not responsible for unauthorized use of the platform by any third party using your login credentials. You accept full responsibility for maintaining the confidentiality of your access information and for all consequences resulting from unauthorized use.

TIME-SENSITIVE USE

Utter Vision will not be liable for any claims or damages arising from the use of its platform for time-sensitive purposes. All users must evaluate the timeliness and relevance of the platform’s content for their specific needs.

AVAILABILITY OF SERVICES

Utter Vision does not guarantee uninterrupted access to its platform, services, or tools. Any interruptions or unavailability will not result in liability for Utter Vision.

VIRUSES AND SYSTEM INTEGRITY

The use of Utter Vision’s platform is at your own risk. Utter Vision does not guarantee that its platform or any linked content will be free of viruses, worms, or other harmful elements. You are responsible for implementing safeguards to protect your systems and assume all costs for repairs or services resulting from such issues.

COMMUNICATIONS NOT CONFIDENTIAL

Utter Vision does not guarantee the confidentiality of communications made through its platform, over the internet, or via telephone. While Utter Vision follows industry practices to secure data transmission, it cannot guarantee absolute security.

REJECTION OF APPLICATIONS

Utter Vision is not responsible for application rejections, errors in your data, or any other issues arising from your failure to comply with requirements or policies.

ISSUES WITH THIRD PARTIES

All issues arising from interactions with third parties, including registered partners (RPs) or other service providers, are solely between you and the third party. Utter Vision bears no responsibility for disputes, compliance issues, or failures related to such interactions.

GOVERNING LAW AND EXCLUSIONS

Some jurisdictions may not allow the exclusion of certain warranties or liabilities. In such cases, the limitations stated here may not apply to you fully but will apply to the maximum extent permitted by law.

18. Limitation of Liability

To the maximum extent permitted under applicable laws in Canada, the United States, Australia, and the United Kingdom, Utter Vision shall not be liable under any circumstances, whether you are a user, third-party client, registered partner (RP), or affiliated entity in any of these countries. This applies regardless of the legal theory, including warranty, contract, tort, negligence, strict liability, or otherwise, for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes, but is not limited to, lost profits, loss of use, loss of data, personal injury, fines, fees, penalties, or other liabilities, whether or not Utter Vision has been advised of the possibility of such damages, arising from or related to the use of, or inability to use, the Utter Vision platform, instructional videos, approval rate calculator, or any related content or services. To the maximum extent permitted under applicable laws in Canada, the United States, Australia, and the United Kingdom, the total aggregate liability of Utter Vision, whether to users, third-party clients, registered partners (RPs), or affiliated entities, in connection with or under this Agreement, your use of or inability to use the Utter Vision platform—including any AI features, chatbots, instructional videos, approval rate calculator, or other tools—or for any other claim related in any way to your use of or inability to use the platform, will not exceed the sum of $900 Canadian dollars. For clarity, the existence of one or more claims under this Agreement will not increase the maximum liability amount.

Nothing in this Agreement limits Utter Vision’s liability for fraud, personal injury, or death to the extent directly caused by Utter Vision’s proven gross negligence or willful misconduct.

The limitations of liability outlined in this section represent the allocation of risk between the parties. These limitations will apply even if any remedy specified in this Agreement is found to have failed its essential purpose. The provisions in this section will survive the termination or expiration of this Agreement.

Jurisdictional Exclusions

Some jurisdictions, including certain regions within Canada, the United States, Australia, and the United Kingdom, may not allow the exclusion or limitation of liability for incidental or consequential damages. In such cases, the limitations or exclusions stated above may not apply to you to the extent prohibited by law. However, the exclusions and limitations shall apply to the maximum extent permitted under the laws of these countries.

19. Your Indemnities

By using the Utter Vision platform, you agree to indemnify, defend, and hold harmless Utter Vision, its directors, employees, agents, affiliates, third-party clients, registered partners (RPs), and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

● Your Use of the Platform: Any misuse or unauthorized use of the Utter Vision platform, including its AI features, chatbots, instructional videos, approval rate calculator, or other tools and services.

● Breach of Terms: Any breach of this Agreement, including but not limited to a breach of warranties, representations, or obligations outlined in these Terms and Conditions.

● User-Generated Content or Data: Any claims related to content, data, or information you submit, upload, or share through the platform, including but not limited to claims of defamation, intellectual property infringement, or privacy violations.

● Non-Compliance with Applicable Laws: Any failure to comply with applicable laws, regulations, or visa/immigration requirements in Canada, the United States, Australia, or the United Kingdom, or any other jurisdiction in which you operate.

● Third-Party Disputes: Any disputes or claims arising between you and third-party entities, including but not limited to registered partners (RPs), governmental authorities, or other affiliated entities, in connection with your use of the Utter Vision platform or services.

● Negligence or Misrepresentation: Any loss or damage caused by your negligence, misrepresentation, or failure to provide accurate or complete information during the use of Utter Vision’s tools, services, or resources.

Utter Vision reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. In such cases, you agree to cooperate fully with Utter Vision’s defense of such claims. This indemnity obligation will survive the termination or expiration of this Agreement.

This section ensures the protection of Utter Vision and its affiliates against risks arising from your actions or omissions while using the platform.

20. General

All users of the Utter Vision platform, including third-party clients, registered partners (RPs), and other entities, agree to these Terms and Conditions as applicable to their use of the platform. This Agreement is governed by the laws of Ontario, Canada, and is binding upon all parties. If any provision is deemed invalid or unenforceable, the remaining provisions will continue to operate in full force.

Force Majeure

Neither Party will be held liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or other unforeseen events. This provision does not excuse the non-payment of amounts owed under this Agreement. Utter Vision’s obligations to provide services, including instructional videos, approval rate calculators, and platform features, may be suspended under such circumstances.

Governing Law

This Agreement is governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising out of or related to this Agreement will be resolved exclusively in the courts of Ontario, Canada.

Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, that provision will be severed from the Agreement, and the remainder will remain fully enforceable. This ensures uninterrupted access to Utter Vision’s platform, instructional videos, and related services while upholding the intent of this Agreement.

21. Third-Party Links and Applications

The Utter Vision platform may include links to third-party websites, tools, or applications. These links are provided for convenience and informational purposes only. Utter Vision does not endorse or assume any responsibility for the content, functionality, or policies of such third-party services. Users, including third-party clients, registered partners (RPs), and other entities, are advised to exercise caution when engaging with these external resources, especially in jurisdictions such as Canada, the U.S., the U.K., and Australia, where privacy and data protection laws may vary.

22. No Patent or Content Licenses or Rights

Users of the Utter Vision platform are discouraged from copying or sharing content. For details, refer to Sections 5 and 12 of this Agreement.

23. No Exclusivity

The engagement between Utter Vision and its users, including third-party clients, registered partners (RPs), and other entities, is non-exclusive. Utter Vision reserves the right to collaborate with other users or entities providing similar services in Canada, the U.S., the U.K., and Australia. This ensures the equitable provision of resources and services to all users without establishing exclusivity agreements.

24. No Waiver Failure by Utter Vision to enforce any provision of this Agreement or to respond to a breach does not constitute a waiver of such provision or breach. Users, including third-party clients, registered partners (RPs), and other entities—whether located in Canada, the U.S., the U.K., Australia, or any other country, or operating under any circumstances whatsoever—acknowledge that Utter Vision reserves all rights to enforce any part of this Agreement at its sole discretion.

25. Audit Clause

Utter Vision reserves the right to conduct audits to ensure compliance with this Agreement by users, including third-party clients, registered partners (RPs), and other entities. Such audits may include a review of user activity, data provided through the platform, and usage patterns. If we suspect, for any reason, that you may have shared your access with others, copied or reproduced any of our content, or engaged in activities that breach this Agreement—such as connecting from multiple IP addresses, using multiple devices simultaneously or within the same period, or any other behavior deemed non-compliant—Utter Vision reserves the right to take appropriate remedial actions. In jurisdictions such as Canada, the U.S., the U.K., and Australia, these audits will be conducted in accordance with applicable laws and regulations. Non-compliance identified during an audit, whether actual or suspected, may result in account suspension, termination, or other actions deemed necessary to protect the integrity of Utter Vision’s platform

26.Electronic Agreement

By clicking the “I AGREE” button (or any similar button or link designated by Utter Vision to signify acceptance of this Agreement and/or the use of the Utter Vision Software Solution), you acknowledge and agree that you are entering into a legally binding contract.

You consent to the use of electronic communication to:

  1. Enter into agreements,
  2. Place orders,
  3. Create records, and
  4. Receive notices, policies, and records of transactions initiated or completed through the Utter Vision platform, including applications, instructional video access, and portal services.

Additionally, you waive any rights or requirements under applicable laws in jurisdictions such as Canada, the U.S., the U.K., and Australia that may require original (non-electronic) signatures, delivery, or retention of paper-based records, to the extent permitted by applicable law.

A printed version of this Agreement or any notice delivered electronically will be admissible in judicial or administrative proceedings to the same extent and under the same conditions as other business documents or records originally generated and maintained in printed form.

This acknowledgment confirms your understanding and agreement to transact with Utter Vision electronically, aligning with the digital nature of the services provided.

27. Publicity

By using the Utter Vision platform, users, including third-party clients, registered partners, and other entities, consent to the use of their names, logos, or testimonials for promotional purposes, unless otherwise agreed in writing. Utter Vision may feature success stories and user feedback from Canada, the U.S., the U.K., and Australia to promote its services. Any requests to opt out of such publicity must be submitted in writing to Utter Vision.
