User Agreement & Terms of Service
This document, together with the Privacy Policy and any other documents referenced in it (collectively, the “Agreement”), is a legal agreement between you (“you” or “your”) and Utter Vision (“Utter Vision,” “we,” “us,” or “our”). It governs your use of the services Utter Vision provides (the “Services”) through its online platform, which exists to make immigration guidance more accessible, easier, and faster for people around the world.
By signing up for the Services and clicking the applicable acceptance button, and by continuing to use the Services afterward, you acknowledge and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not access or use the Services.
Modifications to the Agreement
Unless prohibited by Applicable Law, Utter Vision may update these Terms and Conditions from time to time. Updated terms will be posted on the Utter Vision website, and it is your responsibility to check the website for changes and review the revised terms. Your continued use of the Services after any update constitutes your acceptance of the changes.

1. Definitions
- Access Information
- User credentials — including usernames, passwords, or other access methods — provided by Utter Vision to enable secure use of the Platform, as described in Section 4.
- Agreement
- This entire document, including these Terms and Conditions, the Privacy Policy, and any other referenced materials, as described in the introductory paragraphs.
- Aggregated Information
- Data derived from multiple users that has been anonymized and combined in a way that does not reveal any individual user’s identity.
- Applicable Law
- All domestic and international laws, regulations, statutes, orders, ordinances, protocols, directives, policies, or judicial decisions governing the use of the Platform or the Services, as applicable in Canada, the United States, the United Kingdom, Australia, or any other relevant jurisdiction.
- Artificial Intelligence Assistance (AIA)
- Features integrated into the Platform that provide automated, AI-driven support for immigration or visa applications, as described in Section 2.
- Biometrics Appointments
- Appointments required to collect biometric information, such as fingerprints or photographs, as part of a visa or immigration application process.
- Confidential Information
- All proprietary or sensitive information shared by Utter Vision, including Platform design, Instructional Videos, the Approval Rate Calculator, and user data, as described in Section 11.
- Content
- The visa- and immigration-related information, materials, and resources made available through the Platform, as described in Section 2.
- Governmental or Regulatory Authority
- Any government or regulatory body with jurisdiction over visa and immigration processes, including but not limited to Immigration, Refugees and Citizenship Canada (IRCC), U.S. Citizenship and Immigration Services (USCIS), UK Visas and Immigration (UKVI), and the Department of Home Affairs (DHA) in Australia.
- Immigration Application
- A formal request submitted by a user through the Platform for the purpose of obtaining a visa or immigration status.
- Instructional Videos
- Educational content provided by Utter Vision to guide users through visa and immigration application processes, as described in Section 2.
- Interview
- A formal process in which an applicant is required to answer questions or provide documentation to an immigration authority or institution.
- Material Oversight
- Any significant error, omission, or inaccuracy that may affect the success or outcome of a visa or immigration application.
- Partner Organizations
- Educational institutions, service providers, professional advisors, and other third-party organizations authorized to use or support the Services under a written agreement with Utter Vision (each an “Utter Vision Partner”).
- Party / Parties
- “Party” refers to either you or Utter Vision individually; “Parties” refers to both collectively.
- Portal
- The secure area of the Platform where you create an account, enter Your Data, and prepare and manage Immigration Applications.
- Privacy Policy
- The document describing Utter Vision’s approach to collecting, using, and safeguarding personal information, accessible on the Utter Vision website.
- Services
- The range of services provided by Utter Vision, including access to visa application tools, Instructional Videos, and AI-driven support, as described in Section 2.
- Submission
- Any feedback, suggestions, bug reports, or other communications you share with Utter Vision about the functionality of the Platform, as described in Section 9.
- Terms and Conditions
- This document, which sets out the legal terms governing use of the Platform and the Services.
- Utter Vision Platform (the “Platform”)
- The proprietary online platform operated by Utter Vision for visa and immigration applications, including the Portal, its features, tools, Instructional Videos, and associated Content.
- Utter Vision Solution
- The combination of Services, tools, Instructional Videos, and Platform features provided by Utter Vision to assist users with visa and immigration processes.
- Visa
- An official document or endorsement issued by a country’s government allowing a foreign individual to enter, stay, or work within its territory for a specified purpose.
- Your Data
- All information you provide through the Platform, including personal, financial, or immigration-related data, as described in Section 6.
2. Services
Utter Vision’s Services consist of the following:
2.1 Access to Content. Utter Vision provides access to visa- and immigration-related information, materials, and content (the “Content”) made available through the Platform. The Content includes, without limitation, videos, noteboards, pricing details, Biometrics Appointment scheduling, features, offers, and information provided by third parties. The Content is designed to give users comprehensive resources for understanding and engaging with visa and immigration application processes in various countries, including but not limited to the United States, the United Kingdom, Australia, and Canada, and to support users as they navigate complex immigration systems and procedures.
2.2 The Portal. Utter Vision offers a dedicated Portal that allows you to enter Your Data into the Platform. Acting as an intermediary, Utter Vision facilitates the secure transfer of Your Data to designated Account Managers. This process is designed to streamline and support your visa and immigration applications through the Portal and to make the experience as seamless and efficient as possible.
2.3 Case-by-Case Facilitation. Utter Vision facilitates visa and immigration applications on a case-by-case basis by providing tailored support. This includes assisting you in communications with the relevant Utter Vision Account Managers, third-party consultation providers, or legal professionals, as appropriate for the specific country or region. Utter Vision may also connect you with internationally certified advisors for expert guidance suited to your needs. This facilitation spans the stages of the application journey — the initial submission of your application, the handling of reconsideration requests where an outcome is unfavorable, and assistance with reapplying if necessary. Utter Vision also coordinates the submission of application fees and other associated payments in compliance with applicable requirements, and provides guidance throughout each phase to support the best possible outcome.
2.4 Approval Rate Calculator. Utter Vision offers an Approval Rate Calculator designed to give users an informed estimate of their likelihood of success in visa and immigration applications. The tool draws on recent applications submitted through the Portal, using data from actual cases to remain accurate and relevant. By analyzing key factors and trends from prior submissions, the calculator delivers tailored insights to help you better understand your prospects and prepare with confidence.
3. License to Use the Utter Vision Platform
Subject to the provisions of this Agreement and any restrictions set out in the Content, Utter Vision grants you a limited, non-transferable, non-exclusive, and revocable license to use the Platform.
This license is granted strictly to enable you to use the Services, review the Content, and prepare and submit an Immigration Application through the Platform. Where applicable, Applications may be redirected to governmental platforms for visa and immigration submission. This provision reflects Utter Vision’s commitment to helping users and Partner Organizations navigate the complexities of the visa and immigration process.
4. Your Access Information
Utter Vision provides you with access credentials to enable your use of the Platform, including Instructional Videos and other resources. This “Access Information” includes user IDs and passwords, or the ability to create an account through email, Google, or Apple sign-in.
Access Information is personal and non-transferable. You are responsible for ensuring that no one other than you or your authorized representatives accesses the Platform using your credentials. This obligation applies equally to Partner Organizations and other entities using the Services. Unauthorized sharing, use, or access of your account is strictly prohibited and may lead to suspension or termination of the Services.
Utter Vision reserves the right to monitor account activity to ensure compliance with this Agreement. If we detect suspected misuse — such as unauthorized downloading, sharing, or exploitation of resources — we may suspend or terminate the account immediately. This policy applies to all users of the Platform and exists to protect the integrity of our resources and to ensure fair usage across our community.
5. Your Representations and Warranties
In this Section 5, “you” includes every user of the Platform — individual users, Partner Organizations, and other authorized entities. You commit to, acknowledge, and assure that:
5.1 You have reached the age of majority in your jurisdiction of residence and possess the legal authority to enter into binding legal obligations.
5.2 Access to your account through your Access Information is restricted solely to you or your authorized representatives, and no unauthorized individual may use your Access Information to access the Platform. Additionally, because of international login attempts through Google, Apple, or other sign-in providers, if your account is locked as a result of repeated IP address changes, Utter Vision does not accept responsibility for the lock. In such cases it is your responsibility to contact our support center to request account recovery or reactivation. Once your request is processed, Utter Vision will provide new access credentials within 2 to 3 business days, sent exclusively to your registered email address.
5.3 You will use the Platform strictly in compliance with this Agreement and all Applicable Law.
5.4 Your activities on the Platform will not unlawfully breach, infringe upon, or violate the intellectual property rights of any third party.
5.5 You will comply with all applicable Utter Vision policies and procedures relating to your application, including any policies applicable to Partner Organizations.
5.6 The data you provide is true, accurate, current, and complete. If any provided data becomes inaccurate, you will promptly notify Utter Vision, contact your Account Manager, or update the data directly on the Platform.
5.7 If you engage a third party or authorized representative to provide information on your behalf, the following conditions apply:
5.7.1 Legitimate Purpose. The third party or representative must have a valid and lawful reason for accessing the records or information, such as assisting with Immigration Applications, submitting reconsideration requests, or reapplying for visas already processed through the Platform.
5.7.2 Jurisdictional Compliance. Access to and use of information must comply with the laws and policies of the relevant immigration and citizenship authorities in the applicable jurisdiction:
- United States: access to records must comply with the regulations of U.S. Citizenship and Immigration Services (USCIS) and requires explicit authorization from the individual.
- United Kingdom: the third party must adhere to the policies established by UK Visas and Immigration (UKVI).
- Australia: all data access must align with the guidelines of the Department of Home Affairs (DHA).
- Canada: information must be managed in accordance with the regulations of Immigration, Refugees and Citizenship Canada (IRCC).
You are responsible for ensuring that information provided through third parties is accurate, complete, and shared in full compliance with the privacy and data-protection requirements of the applicable jurisdiction.
5.8 You will comply with the rules and regulations of USCIS, UKVI, DHA, and IRCC, as applicable, when deciding whether to submit information for your application through the Portal.
5.9 You will not pay fees or provide other consideration to unauthorized representatives for immigration or visa-related advice. Such payments may be made only to representatives who are qualified and authorized under the applicable laws of the destination country and expressly authorized by Utter Vision for this purpose. A separate Authorized Representative Form must be completed and signed by both the applicant and the authorized service provider to ensure proper documentation and compliance with Utter Vision policies and legal requirements.
5.10 You are solely responsible for all activities conducted on the Portal or Platform by you or your authorized designates.
5.11 You are strictly prohibited from using the Portal to provide commercial services to or for the benefit of any third party without explicit written authorization from Utter Vision. This is a core policy of Utter Vision and must be strictly observed. Any authorized activity must comply with all applicable regulations and requires the appropriate certifications or accreditations from the relevant immigration and legal regulatory bodies, including the following authorities for consultants and lawyers:
United States (USCIS)
- Lawyers: licensed by state bar associations (e.g., the California Bar, the New York State Bar); must hold a Juris Doctor (JD) degree and have passed the state bar exam.
- Immigration consultants: not regulated federally; requirements vary by state. In states such as California, consultants must register with the Secretary of State.
United Kingdom (UKVI)
- Lawyers: solicitors are regulated by the Solicitors Regulation Authority (SRA); barristers are overseen by the Bar Standards Board (BSB).
- Immigration advisers: must be licensed by the Office of the Immigration Services Commissioner (OISC) and meet the required OISC competency levels.
Australia (DHA)
- Lawyers: regulated by state or territory legal practice boards and the Law Council of Australia; must hold a law degree and be admitted as a legal practitioner.
- Migration agents: licensed by the Office of the Migration Agents Registration Authority (OMARA); must complete the Graduate Diploma in Australian Migration Law and Practice and pass a capstone assessment.
Canada (IRCC)
- Lawyers: governed by provincial or territorial law societies (e.g., the Law Society of Ontario, the Barreau du Québec); require a law degree and bar admission in the respective province or territory.
- Immigration consultants: licensed by the College of Immigration and Citizenship Consultants (CICC); must complete an accredited immigration consultant diploma program and pass the Entry-to-Practice Exam.
5.12 You have the legal right and authority to: enter into this Agreement; grant the rights and licenses set out in this Agreement; use the Platform; post or upload content to the Utter Vision website; and provide such content or Your Data to the Platform in compliance with Applicable Law. You may independently use the Instructional Videos and resources provided through the Platform to support your application process. You acknowledge that any reliance you place on the Instructional Videos or supplementary materials is entirely at your own discretion and interpretive understanding, and that the instructional content is designed to support general comprehension of application procedures — any inadvertent misapplication or deviation resulting from your interpretation of these materials remains solely your responsibility.
5.13 You possess all necessary legal rights to use the Platform in your jurisdiction and in the jurisdiction of any users for whom you are applying for visa or immigration services, including: the legal right to access the Content provided through the Platform; the right to submit visa or immigration applications using the Platform; and the right to provide Your Data as required for those applications.
5.14 You are not located in a country subject to embargoes or sanctions imposed by the governments of Canada, the United States, Australia, or the United Kingdom that would prevent you from applying for visas or pursuing immigration pathways through their systems.
5.15 You will use the Platform’s features, including the Approval Rate Calculator, solely for their intended purpose and in compliance with this Agreement. You must not misuse, replicate, reverse-engineer, or attempt to duplicate the underlying algorithm or functionality of the Approval Rate Calculator for personal, commercial, or competitive purposes. Any unauthorized access, distribution, or reproduction of the Approval Rate Calculator or its components is strictly prohibited and may result in immediate suspension of access to the Platform and legal action. Utter Vision retains full proprietary rights over the Approval Rate Calculator, including its algorithm, data models, and associated intellectual property. By accessing the Platform, you acknowledge your responsibility to protect the confidentiality and integrity of the tools provided and agree to refrain from any action that compromises these rights.
5.16 You will not use the Platform or its Instructional Videos to engage in, attempt to engage in, or facilitate any criminal or unlawful activity, including but not limited to: fraudulent activities; using Utter Vision’s assets, resources, or proprietary materials to develop or support third-party service providers; deceptive impersonation or misrepresentation; violating any third party’s privacy rights; or breaching copyright law, including reproducing, distributing, or otherwise misusing Utter Vision’s coaching, training, or Instructional Videos.
5.17 You will not interfere with or attempt to manipulate, disrupt, or undermine the Platform’s security protocols, including through unauthorized access or tampering with the Platform’s content or infrastructure, or in any manner that compromises the security measures of the Platform or its protected Instructional Videos.
5.18 You will not alter, modify, delete, interfere with, or in any way compromise any Content, features, or functionality accessible through the Platform, including but not limited to: the visa and immigration application forms; the Instructional Videos; AI-powered features and tools; the Approval Rate Calculator; and the delivery, presentation, or display of Content on the Utter Vision website or Portal.
5.19 You will cooperate fully with the Utter Vision team and promptly provide any information Utter Vision reasonably requests, including assistance in investigations or inquiries conducted by Utter Vision or by governmental or regulatory authorities of Canada, the United States, Australia, the United Kingdom, or any other jurisdiction, to determine whether there has been a breach of this Agreement or Applicable Law.
5.20 You will comply with the terms and conditions of any agreements between you and third parties in connection with your use of the Platform — including Partner Organizations, internet service providers, and hardware providers for the devices you use to access the Platform. To the extent such agreements impose additional restrictions on your use of the Utter Vision Solution, you agree to use the Platform in full compliance with those restrictions.
6. Your Data
6.1 Your Data Must Be Complete and Accurate
All users of the Platform must:
- Provide accurate information. Submit complete, current, and accurate personal information and other data requested by Utter Vision through the Portal, the Utter Vision website, or other communication channels, including but not limited to:
- Personal information: name, contact details, citizenship and legal status, gender, date of birth, home and mailing address, marital status, and emergency contact information.
- Financial and educational details: financial information, educational qualifications, employment information, transcripts, and English or French test scores.
- Visa and immigration application data: passport details, visa-specific requirements, and the medical and financial information required for visa or immigration processing.
- Payment information. Where payment is required, provide current, complete, and accurate payment information, which may include a valid PayPal or Stripe account, or credit or debit card information for a card legally registered to the paying party and valid in their country of residence.
- Obtain relevant permissions. Ensure that all necessary permissions have been obtained from any affected third party (such as custodians, parents, or legal guardians) to allow Utter Vision to collect, use, and process the required data.
This Agreement does not transfer to Utter Vision any ownership rights over Your Data in its original form. You retain unequivocal ownership of, and exclusive rights to, your respective data.
6.2 Hosting Outside Canada
You acknowledge that Your Data may be hosted on servers located outside of Canada and may be subject to the legal frameworks and contractual terms of those foreign jurisdictions, beyond the direct oversight of Utter Vision. By using the Services, you consent to these conditions.
6.3 Collection, Processing, and Sharing
You acknowledge that an integral part of the Utter Vision Solution involves the collection, processing, transmission, and disclosure of Your Data by Utter Vision, its Partner Organizations, and their service providers. By using the Platform, you expressly consent to:
- Data sharing: Utter Vision’s sharing of Your Data with Partner Organizations, visa agencies, language-testing organizations (e.g., for English or French test scores), educational institutions, professional bodies, service providers (including hosting providers), and relevant Governmental or Regulatory Authorities, as required to deliver the Utter Vision Solution.
- Communications: receiving communications from Utter Vision (including informational and marketing emails) relating to the Utter Vision Solution and Utter Vision’s programs and services.
6.4 Privacy Policy
All personal information will be handled in accordance with Utter Vision’s Privacy Policy, accessible at https://www.uttervision.com/privacy-policy. Notwithstanding the foregoing, Utter Vision reserves the right to disclose any personal information it deems necessary to comply with Applicable Law, legal process, or the requirements of a Governmental or Regulatory Authority.
7. De-Identified Data
Utter Vision reserves the right to use or share Your Data, and information about your use of the Platform, in an aggregated and anonymized format that does not personally identify you (“De-Identified Data”), in accordance with the Privacy Policy. De-Identified Data may be used for purposes including, but not limited to:
- improving and optimizing the Platform and the Portal;
- enhancing our Instructional Videos;
- updating and refining the Approval Rate Calculator;
- advancing the functionality and accuracy of our AI features;
- conducting performance analytics; and
- supporting the sustainability of our programs, including through the licensing of aggregated insights to third parties, with any resulting proceeds applied to Utter Vision’s mission as described in Section 10.
Utter Vision retains full ownership of any intellectual property rights arising from the use of De-Identified Data and its application in improving the Services.
8. Restrictions and Limitations on Your Use of the Platform
8.1 Access to Visa and Immigration Pathways
You acknowledge that only certain Partner Organizations have agreements with Utter Vision enabling the submission of Applications through the Platform, and that not all visa and immigration pathways or programs offered by those Partner Organizations may be accessible or available through the Platform.
8.2 Usage Policies
You acknowledge that the Platform is governed by usage policies provided by Utter Vision from time to time, including through electronic updates or postings on the Utter Vision website. These policies may specify limitations on data storage space and the equipment or software requirements necessary for proper functionality. You are solely responsible for adhering to and complying with these policies.
8.3 Responsibility for Equipment and Services
You bear full responsibility for selecting, configuring, installing, maintaining, and ensuring the performance of any equipment, software, or services you use in connection with the Platform. This responsibility does not extend to Utter Vision’s own systems and networks. You are also responsible for your choice and management of internet service providers and related connectivity solutions.
8.4 Data Integrity and Backup
You acknowledge and accept that Utter Vision cannot guarantee the integrity of data. It is your sole responsibility to create and maintain backups of any data you use in conjunction with the Platform.
8.5 Not for Time-Sensitive Applications
You acknowledge that the Platform is not designed or authorized for use in inherently dangerous, highly time-sensitive, or mission-critical scenarios. This includes applications for special visa or immigration pathways, such as diplomatic visas or programs opened at random for specific ethnicities or nationalities. You must exercise caution and seek alternative solutions for such applications.
8.6 Restrictions on Use of the Platform
You will not:
8.6.1 Modification and reverse engineering. Reproduce, modify, enhance, alter, reverse engineer, disassemble, deconstruct, translate, decrypt, reverse compile, or convert into human-readable form the Platform or any part of it.
8.6.2 Distribution and licensing. Distribute, assign, license, sublicense, lease, rent, transfer, sell, or otherwise provide access to the Platform, in whole or in part, to any third party on a temporary or permanent basis.
8.6.3 Proprietary rights. Remove, deface, cover, or otherwise obscure any proprietary rights notice or identification on the Content, including any copyright notices.
8.6.4 Misuse of the Platform. Use the Platform in any way inconsistent with its established use parameters.
8.6.5 Security breaches. Attempt to hack the Platform or any communication initiated by or through the Portal, or defeat or overcome any encryption or technical protection methods implemented with respect to the Platform, its data, or the Content.
8.6.6 Surveillance and interception. Collect any information or communication about users of the Platform by monitoring, interdicting, or intercepting any process or communication, or develop or use any software, process, or method that engages in or assists any of these activities.
8.6.7 Malicious software. Use any bot, spider, virus, clock, timer, counter, worm, software lock, drop-dead device, packet-sniffer, Trojan horse, trap door, time bomb, or any other code or instruction designed to provide surreptitious or unauthorized access to, or to monitor, distort, delete, damage, or disassemble the Platform or its communications and service performance.
8.6.8 Legal standards for Instructional Videos. Use, distribute, or alter the Instructional Videos in ways that violate copyright laws or regulations in Canada, the United States, the United Kingdom, or Australia.
8.6.9 Third-party actions. Authorize, permit, or acquiesce in any other party engaging in, or attempting to engage in, any of the activities described in this Section.
8.6.10 Specific use of visa and immigration Content. Redistribute, modify, or misuse any visa and immigration instructions, content, or guidance provided exclusively through the Instructional Videos, coaching webinars, or similar formats, in any manner that contravenes their intended educational purpose or infringes proprietary rights.
Adherence to these restrictions is essential to maintaining the integrity and security of the Platform, and non-compliance may result in termination of access and potential legal action.
9. Submissions and Feedback
Any suggestions, bug reports, feedback, or other communications regarding the functionality of the Platform or the Utter Vision website that you submit to Utter Vision by any means (each, a “Submission”) will be treated as non-confidential. Utter Vision may use or disseminate Submissions — including sharing them with affiliates or third parties — for any purpose, such as improving its services related to visa and immigration applications for the United States, Canada, the United Kingdom, and Australia. This does not include the personal data contained within your visa and immigration applications: personal data provided as part of your applications remains confidential and is handled in accordance with the Privacy Policy.
You grant Utter Vision, its affiliates, and its successors a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, transmit, modify, develop, and prepare derivative works of any Submission on, through, or in connection with the Services, including for the purposes of promoting, improving, and developing the Platform and related solutions.
This provision does not extend to personal information, which is protected under the Privacy Policy and handled in compliance with applicable data-protection regulations.
10. Fees, Payment, Taxes, and Use of Funds
Fees
Users of the Platform, including access to the Portal and Instructional Videos, agree to pay all applicable fees as set out on the Utter Vision website or otherwise communicated. Fees are quoted in the currency relevant to the service location (e.g., USD for U.S.-related applications). Utter Vision reserves the right to modify fees with reasonable notice, which may be posted on the website. Continued use of the Platform after such changes constitutes acceptance of the new fees.
Use of Funds
Utter Vision operates as a not-for-profit organization. All fees, deposits, and other amounts collected under this Agreement are applied exclusively to operating, maintaining, and improving the Platform and its programs, and to goods and services that directly support our charitable mission of making immigration guidance more accessible, easier, and faster for the people we serve. No portion of these funds is distributed as profit or personal benefit to any member, director, or officer of the organization.
Application Processing Deposit
In certain cases, Utter Vision may require an application processing deposit based on the applicant’s country, profile, or other criteria relevant to application outcomes. Specific conditions regarding the deposit, including refundable and non-refundable scenarios, are provided on the Utter Vision website and are subject to change. Situations in which the deposit will not be refunded include, but are not limited to: failure to provide required documentation; rejection of the visa application; or cancellation of the application prior to receiving a decision.
Partner Organization Subscriptions
Partner Organizations agree that all subscription fees and related charges are non-refundable in all circumstances. A Partner Organization agreement may be terminated by either party with a minimum of 30 days’ advance written notice. Utter Vision reserves the right to adjust subscription fees with reasonable notice in accordance with the terms of the applicable agreement.
Third-Party Fees
Certain fees may be charged by Utter Vision’s Partner Organizations or by third-party service providers. These fees are non-refundable and beyond Utter Vision’s control, as they are remitted directly to the applicable partner or provider.
Payment Authorization
By paying via credit card or other methods, you authorize Utter Vision or its third-party payment processors to charge all applicable fees. Rejected payments may incur additional fees, and Utter Vision reserves the right to delay processing of any application until full payment is received.
Late Payments and Interest
Outstanding payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, beginning on the due date. You are also responsible for reasonable costs, including legal costs, associated with the collection of overdue payments.
Taxes
All taxes, duties, and government charges relating to this Agreement, other than taxes on Utter Vision’s net income, are your responsibility. Payment amounts will be adjusted to account for any tax withholding so that the full amount due is remitted to Utter Vision. Official receipts for taxes paid must be provided promptly upon request.
11. Confidential Information
By accessing the Platform, you agree to maintain the confidentiality of the terms of this Agreement and of any information provided by Utter Vision, except where disclosure is necessary for the delivery of agreed-upon services.
Throughout the term of this Agreement and following its termination (whether voluntary or involuntary):
- you will safeguard all Confidential Information and ensure it is not disclosed, transmitted, or accessed by any unauthorized party without Utter Vision’s prior written consent;
- you will use, disclose, or reproduce Confidential Information only as required to access or use the Services, and always with Utter Vision’s explicit written approval; and
- you will report any misuse, unauthorized access, or misappropriation of Confidential Information to Utter Vision immediately, in writing.
Utter Vision will implement reasonable organizational and technical measures to protect Your Data while it is within our control. However, Your Data may be disclosed: (1) to Governmental or Regulatory Authorities, as required by Applicable Law; and (2) to professional advisors, where necessary to comply with Applicable Law or to defend against claims relating to this Agreement.
The confidentiality obligations in this Agreement do not extend to information that: becomes publicly accessible through no fault or breach of this Agreement by the receiving party; is lawfully disclosed to the receiving party by a third party under no obligation of confidentiality; is independently developed by the receiving party without reliance upon or reference to the Confidential Information; or was already lawfully in the receiving party’s possession, without restriction on disclosure, prior to disclosure under this Agreement.
Upon termination of this Agreement, whether voluntary or involuntary, or upon written request from Utter Vision, you must promptly return or securely destroy all Confidential Information in your possession, custody, or control.
It is expressly acknowledged that monetary damages may be insufficient to remedy a breach of these confidentiality obligations. Utter Vision therefore has the unequivocal right to seek injunctive relief, whether interim or permanent, as well as any other legal or equitable remedies available, to safeguard its interests and enforce these obligations.
This Section applies comprehensively to all elements of the Utter Vision Solution, including but not limited to the Portal, the Instructional Videos, visa coaching webinars, and any associated educational materials or resources.
12. Intellectual Property
The Platform — including the Portal, the Instructional Videos, visa coaching webinars, the Approval Rate Calculator, and all related tools, designs, and Content — is and remains the exclusive property of Utter Vision and its licensors. Utter Vision retains all right, title, and interest in and to the Platform and its components, which are protected under Canadian, U.S., U.K., Australian, and international copyright and intellectual property law. Except for the limited license granted in Section 3, nothing in this Agreement transfers or grants you any ownership interest, license, or other right in the Platform or the Content.
The Instructional Videos and associated educational materials are protected under applicable copyright law. Unauthorized reproduction, distribution, or adaptation of the Instructional Videos is strictly prohibited and constitutes a breach of copyright law.
In keeping with its mission, Utter Vision may — at its sole discretion and only under a written agreement — share technical knowledge or resources with mission-aligned organizations seeking to improve access to immigration guidance. No such sharing occurs by default or by implication, and any inquiry of this kind should be directed to our team at info@uttervision.com.
If you use materials provided through the Platform — with or without consultation from our team — you assume full responsibility for your actions. Utter Vision shall not be held liable for any outcomes, including but not limited to legal disputes, inaccuracies, or misuse of the Content.
13. Changes; Data Removal; Suspension or Termination
Changes to These Terms
Utter Vision reserves the right to amend these Terms and Conditions at any time without prior notice. Continued access to or use of the Platform — including the Instructional Videos, visa coaching webinars, and related resources — after such changes constitutes your acceptance of the updated Terms and Conditions. You are responsible for reviewing these Terms and Conditions periodically.
Changes to the Platform
Utter Vision reserves the right to modify, suspend, or discontinue any part of the Platform, including the availability of Instructional Videos or other resources, at any time and without notice. Such changes may apply to Services offered in Canada, the U.S., the U.K., Australia, or any other jurisdiction.
Right to Review and Remove User Data
Utter Vision may review user data stored on the Platform to ensure compliance with this Agreement, and reserves the right to edit or remove data that, in its sole discretion, is unlawful, obscene, abusive, fraudulent, or otherwise objectionable.
Suspension or Termination of Access
Utter Vision may restrict or terminate access to the Platform, temporarily or permanently, at its sole discretion and without liability. While we will make reasonable efforts to provide advance notice where feasible, you acknowledge that immediate action may be necessary in some circumstances.
Access to the Platform may also be revoked for abusive conduct, fraudulent use, or any activity that, in Utter Vision’s sole discretion, poses a threat to its systems, third-party systems, or other users. Without limiting other remedies, if you breach this Agreement Utter Vision may: issue warnings; suspend or terminate accounts; limit Platform activity; or refuse future services. These actions may also be taken if Utter Vision is unable to verify information you provide, or if your actions risk financial loss or legal liability for Utter Vision, its Partner Organizations, or other users.
Utter Vision will not be liable to you or to any third party for terminating or suspending access to the Platform under any circumstances.
Investigations
Utter Vision reserves the right to investigate suspected breaches of this Agreement. You agree to cooperate with: (1) governmental or regulatory authorities investigating potential unlawful activity in jurisdictions such as Canada, the U.S., the U.K., and Australia; (2) Utter Vision’s Partner Organizations, in addressing fraud or other misconduct related to immigration and visa applications; and (3) system administrators at internet service providers, networks, or related entities, in enforcing these Terms and Conditions.
By agreeing to these terms, you accept Utter Vision’s authority to take all necessary legal, technical, and equitable measures to safeguard the Platform and its resources.
14. Your Obligation to Report Errors
You will promptly and accurately report to Utter Vision Support any actual or apparent errors, problems, nonconformities, or other difficulties with the Platform, including but not limited to the Instructional Videos, the Approval Rate Calculator, and other Services. You also agree to provide any other information reasonably requested by Utter Vision to help troubleshoot and resolve such issues. By submitting this information, you consent to its collection, processing, transmission, and disclosure by Utter Vision for internal purposes, including improving the Platform, the instructional materials, and other programs and services.
This obligation applies to all users of the Platform, including Partner Organizations. Utter Vision shall not be held liable for any outcomes resulting from the use of these materials or tools, whether errors are reported or not.
15. Term and Termination
This Agreement may be terminated by either Party for any reason, without cause, upon 30 days’ written notice to the other Party.
This Agreement may be terminated by Utter Vision immediately upon notice, for cause, if:
- you commit a material breach of this Agreement and fail to remedy the breach within 30 calendar days of Utter Vision delivering notice of it;
- you breach any of your representations in this Agreement; or
- Utter Vision is prevented from providing any portion or all of its Services — including the Instructional Videos, the Approval Rate Calculator, or other tools — due to: (A) your acts or omissions in breach of this Agreement; (B) the acts or omissions of any third party, including any Partner Organization; or (C) any Applicable Law or ruling issued in any form by a Governmental or Regulatory Authority.
16. Effect of Termination or Expiry
Upon termination or expiry of this Agreement (by you or by Utter Vision), you must stop using all Utter Vision Services, including the Instructional Videos and tools. Payment obligations for fees accrued before termination remain unaffected. Rights, remedies, and provisions that naturally or expressly survive termination will remain in effect.
17. Disclaimers
Disclaimer of Implied Warranties
The Platform — including but not limited to the Instructional Videos, the Approval Rate Calculator, and all related Content — is provided to you “as is,” without warranties or conditions of any kind, express or implied, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy.
No Guarantee of Content Accuracy
Utter Vision does not guarantee the accuracy, completeness, or reliability of any Content provided through the Platform. Some Content, including Instructional Videos and tools such as the Approval Rate Calculator, may consist of approximations, hypothetical scenarios, or material created solely for illustrative purposes. Such Content carries no official standing in any country and should not be relied upon as an authoritative source.
Limitation of Responsibility for All Users
Utter Vision assumes no responsibility for any errors, omissions, inaccuracies, or outcomes related to use of the Platform. This applies to all users, including Partner Organizations and other entities. By using the Services, you acknowledge that all actions taken based on the Content, tools, or guidance provided are at your sole discretion and risk.
No Liability for Reliance on Content
Utter Vision has no special relationship with or fiduciary duty to you and is not responsible for how you or any other user interprets or uses Content accessed or developed through the Platform. Under no circumstances will Utter Vision be liable for any loss or damage caused by reliance on the Platform’s Content, tools, or Services, including opinions, statements, or advice.
Content Sources and Third Parties
Content provided through the Platform may include references to third parties, external links, or information sourced from third-party entities. These references and links may change without notice. Utter Vision bears no responsibility for the accuracy, legality, or compliance of any third-party information, or for errors or issues arising from such sources.
Responsibility for Outcomes
Utter Vision is not responsible for your failure to achieve desired outcomes, such as visa approvals, successful applications, or adherence to immigration requirements. You acknowledge that such outcomes depend on factors beyond Utter Vision’s control, including your own actions, third-party processes, and governmental decisions.
Inability to Access Destinations or Services
You are solely responsible for meeting entry requirements, visa conditions, and Applicable Law in any country. Utter Vision assumes no liability for any failure to access your chosen destination or services due to unmet requirements or external factors.
Data Use and Privacy
Utter Vision uses reasonable measures to secure data collected through the Platform. However, Utter Vision is not liable for unauthorized access, data breaches, or actions taken by governmental or third-party entities in relation to your data. You are advised to back up your information and remain responsible for its safekeeping.
Access and Security
Utter Vision is not responsible for unauthorized use of the Platform by any third party using your login credentials. You accept full responsibility for maintaining the confidentiality of your Access Information and for all consequences of unauthorized use.
Time-Sensitive Use
Utter Vision will not be liable for any claims or damages arising from use of the Platform for time-sensitive purposes. You must evaluate the timeliness and relevance of the Platform’s Content for your specific needs.
Availability of Services
Utter Vision does not guarantee uninterrupted access to the Platform, the Services, or its tools. Interruptions or unavailability will not give rise to liability for Utter Vision.
Viruses and System Integrity
Use of the Platform is at your own risk. Utter Vision does not guarantee that the Platform or any linked content will be free of viruses, worms, or other harmful elements. You are responsible for implementing safeguards to protect your systems and assume all costs for repairs or services resulting from such issues.
Communications Not Confidential
Utter Vision does not guarantee the confidentiality of communications made through the Platform, over the internet, or by telephone. While Utter Vision follows industry practices to secure data transmission, absolute security cannot be guaranteed.
Rejection of Applications
Utter Vision is not responsible for application rejections, errors in your data, or any other issues arising from your failure to comply with requirements or policies.
Issues with Third Parties
All issues arising from interactions with third parties, including Partner Organizations and other service providers, are solely between you and the third party. Utter Vision bears no responsibility for disputes, compliance issues, or failures related to such interactions.
Governing Law and Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or liabilities. In such cases, the limitations stated here may not apply to you in full, but will apply to the maximum extent permitted by law.
18. Limitation of Liability
To the maximum extent permitted under Applicable Law in Canada, the United States, Australia, and the United Kingdom, Utter Vision shall not be liable under any circumstances — whether you are an individual user, a Partner Organization, or another entity in any of these countries, and regardless of the legal theory, including warranty, contract, tort, negligence, strict liability, or otherwise — for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes, but is not limited to, lost profits, loss of use, loss of data, personal injury, fines, fees, penalties, or other liabilities, whether or not Utter Vision has been advised of the possibility of such damages, arising from or related to the use of, or inability to use, the Platform, the Instructional Videos, the Approval Rate Calculator, or any related Content or Services.
To the maximum extent permitted under Applicable Law in Canada, the United States, Australia, and the United Kingdom, the total aggregate liability of Utter Vision — whether to individual users, Partner Organizations, or other entities — in connection with or under this Agreement, your use of or inability to use the Platform (including any AI features, chatbots, Instructional Videos, the Approval Rate Calculator, or other tools), or any other claim relating in any way to your use of or inability to use the Platform, will not exceed the sum of $900 Canadian dollars. For clarity, the existence of more than one claim under this Agreement will not increase this maximum amount.
Nothing in this Agreement limits Utter Vision’s liability for fraud, personal injury, or death to the extent directly caused by Utter Vision’s proven gross negligence or willful misconduct.
The limitations of liability in this Section represent the allocation of risk between the Parties. They will apply even if any remedy specified in this Agreement is found to have failed of its essential purpose, and they will survive the termination or expiry of this Agreement.
Jurisdictional Exclusions
Some jurisdictions, including certain regions within Canada, the United States, Australia, and the United Kingdom, do not allow the exclusion or limitation of liability for incidental or consequential damages. In such cases, the limitations or exclusions above may not apply to you to the extent prohibited by law, but shall apply to the maximum extent permitted.
19. Your Indemnities
By using the Platform, you agree to indemnify, defend, and hold harmless Utter Vision, its directors, employees, agents, affiliates, Partner Organizations, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform: any misuse or unauthorized use of the Platform, including its AI features, chatbots, Instructional Videos, Approval Rate Calculator, or other tools and Services.
- Breach of terms: any breach of this Agreement, including any breach of the warranties, representations, or obligations set out in these Terms and Conditions.
- User-generated content or data: any claims relating to content, data, or information you submit, upload, or share through the Platform, including claims of defamation, intellectual property infringement, or privacy violations.
- Non-compliance with Applicable Law: any failure to comply with applicable laws, regulations, or visa/immigration requirements in Canada, the United States, Australia, the United Kingdom, or any other jurisdiction in which you operate.
- Third-party disputes: any disputes or claims arising between you and third parties — including Partner Organizations, governmental authorities, or other entities — in connection with your use of the Platform or the Services.
- Negligence or misrepresentation: any loss or damage caused by your negligence, misrepresentation, or failure to provide accurate or complete information while using Utter Vision’s tools, Services, or resources.
Utter Vision reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. In such cases, you agree to cooperate fully with Utter Vision’s defense of the claim. This indemnity obligation survives the termination or expiry of this Agreement.
20. General
All users of the Platform, including Partner Organizations and other entities, agree to these Terms and Conditions as applicable to their use of the Platform. Utter Vision is organized and operated on a not-for-profit basis, and this Agreement is binding upon all Parties. If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
Force Majeure
Neither Party will be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, or other unforeseen events. This provision does not excuse the non-payment of amounts owed under this Agreement. Utter Vision’s obligations to provide the Services — including the Instructional Videos, the Approval Rate Calculator, and Platform features — may be suspended in such circumstances.
Governing Law
This Agreement is governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement will be resolved exclusively in the courts of Ontario, Canada.
Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, that provision will be severed from the Agreement, and the remainder will remain fully enforceable, preserving uninterrupted access to the Platform, the Instructional Videos, and related Services while upholding the intent of this Agreement.
21. Third-Party Links and Applications
The Platform may include links to third-party websites, tools, or applications. These links are provided for convenience and information only. Utter Vision does not endorse and assumes no responsibility for the content, functionality, or policies of such third-party services. Users are advised to exercise caution when engaging with external resources, particularly in jurisdictions such as Canada, the U.S., the U.K., and Australia, where privacy and data-protection laws may vary.
22. No Patent or Content Licenses or Rights
Except for the limited license expressly granted in Section 3, no license or right — whether by implication, estoppel, or otherwise — is granted to you under any patent, copyright, trademark, trade secret, or other intellectual property right of Utter Vision. Copying or sharing of Content is prohibited except as expressly permitted; see Sections 5, 8, and 12 of this Agreement.
23. No Exclusivity
The relationship between Utter Vision and its users, including Partner Organizations and other entities, is non-exclusive. Utter Vision reserves the right to work with other users or entities providing similar services in Canada, the U.S., the U.K., and Australia. This ensures the equitable provision of resources and services to all users without creating exclusivity arrangements.
24. No Waiver
Failure by Utter Vision to enforce any provision of this Agreement, or to respond to a breach, does not constitute a waiver of that provision or breach. All users — whether located in Canada, the U.S., the U.K., Australia, or any other country, and under any circumstances whatsoever — acknowledge that Utter Vision reserves all rights to enforce any part of this Agreement at its sole discretion.
25. Audit Clause
Utter Vision reserves the right to conduct audits to verify compliance with this Agreement by users, including Partner Organizations and other entities. Audits may include a review of user activity, data provided through the Platform, and usage patterns. If we suspect, for any reason, that you may have shared your access with others, copied or reproduced any of our Content, or engaged in activity that breaches this Agreement — such as connecting from multiple IP addresses, using multiple devices simultaneously or within the same period, or any other conduct deemed non-compliant — Utter Vision reserves the right to take appropriate remedial action.
In jurisdictions such as Canada, the U.S., the U.K., and Australia, audits will be conducted in accordance with Applicable Law. Non-compliance identified during an audit, whether actual or suspected, may result in account suspension, termination, or other actions necessary to protect the integrity of the Platform.
26. Electronic Agreement
By clicking the “I AGREE” button (or any similar button or link designated by Utter Vision to signify acceptance of this Agreement and/or use of the Platform), you acknowledge and agree that you are entering into a legally binding contract.
You consent to the use of electronic communication to: (1) enter into agreements; (2) place orders; (3) create records; and (4) receive notices, policies, and records of transactions initiated or completed through the Platform, including applications, access to Instructional Videos, and Portal services.
You also waive any rights or requirements under Applicable Law in jurisdictions such as Canada, the U.S., the U.K., and Australia that require an original (non-electronic) signature or the delivery or retention of paper records, to the extent permitted by Applicable Law.
A printed version of this Agreement, or of any notice delivered electronically, will be admissible in judicial or administrative proceedings to the same extent and under the same conditions as other business documents originally generated and maintained in printed form. This acknowledgment confirms your understanding of, and agreement to, transacting with Utter Vision electronically, in keeping with the digital nature of the Services.
27. Publicity
Utter Vision may, with your prior written consent, feature your name, logo, testimonial, or success story to illustrate the impact of its programs, including stories from Canada, the U.S., the U.K., and Australia. You may withdraw this consent at any time by writing to info@uttervision.com, after which Utter Vision will cease new uses of your name or story within a reasonable period.
